Terms of Service

Boon-Doc is a product of Burrow Labs LLC ("we," "us," "our"). We provide a cloud-based platform for lighting distributors to manage bids, submittals, purchase orders, and delivery across complex projects ("Service").

By accessing or using the Service, you agree to these Terms of Service. If you do not agree, do not use the Service.

You may use the Service to:

• Manage bid packages, revisions, and related documents
• Track submittals, approvals, and revision history
• Create and manage purchase orders tied to projects
• Monitor delivery schedules and release plans
• Collaborate with team members across your organization

You agree not to:

• Upload illegal, harmful, or malicious content
• Attempt to disrupt, abuse, or circumvent the Service
• Reverse engineer or scrape the platform
• Share access credentials with unauthorized parties

Access to the Service is by invitation only. Accounts are tied to individual users and their associated organizations or branch structures. Organization administrators control team access and permissions within their account.

You are responsible for all activity that occurs under your account. We are not responsible for internal misuse of accounts within your organization.

You retain ownership of all content you upload to the Service ("User Content"), including project documents, bid packages, purchase orders, and related files.

By using the Service, you grant us a limited license to store, process, display, and transmit your User Content solely to operate and provide the Service.

You are responsible for:

• The accuracy and completeness of content you upload
• Any decisions made based on information in the Service
• Ensuring you have the rights to share any content you upload

We do not verify the accuracy of uploaded documents or guarantee their completeness.

We store and provide access to uploaded files as part of the Service. However, we do not guarantee permanent storage or protection against data loss. You are responsible for maintaining independent backups of critical project files.

The Service maintains an activity log that records many user and system actions with timestamps. Users cannot modify or delete log entries. Where the Service offers export, you may use it for compliance or recordkeeping; you may also contact us for data requests as described in our Privacy Policy.

We may use automated systems, including AI-assisted tools, to process documents and extract structured data. Outputs of automated processing may contain errors. You are responsible for reviewing and verifying all results before acting on them.

Paid access to the Service is provided under a separate order, purchase order, statement of work, or other written agreement between your organization and us ("Commercial Agreement"). Fees, invoicing, renewal, and termination of paid access are governed by that Commercial Agreement. These Terms govern your use of the Service regardless of how access is purchased.

We may suspend or revoke access for non-payment, breach of these Terms, or as otherwise set forth in your Commercial Agreement or in written notice from us.

We may suspend or terminate your access if these Terms are violated or the Service is abused. You may stop using the Service at any time. Upon termination, your right to access the Service and your stored data will cease, subject to any applicable data export period we may offer.

The Service is provided "as is" and "as available." We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability. We do not guarantee that the Service will meet all of your requirements.

To the maximum extent permitted by applicable law, Burrow Labs LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business opportunities. Our total liability to you for any claim arising from these Terms or your use of the Service is limited to the greater of (a) the fees paid by your organization to Burrow Labs LLC under the applicable Commercial Agreement during the twelve months preceding the claim, or (b) one hundred US dollars (US $100).

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms will be resolved in the courts of Florida.

We may update these Terms from time to time. If changes are material, we will notify you via email or a notice within the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
